保密协议

NON-DISCLOSURE AGREEMENT

鉴于客户拟向联律国际披露高度敏感及机密的法律、商业、财务或技术资料，用于评估及提供法律翻译、卷宗处理等语言解决方案服务；双方特此达成如下保密协议：

WHEREAS, the Client intends to disclose highly sensitive and confidential legal, commercial, financial, or technical information to Links Attorney for the purpose of evaluation and provision of legal translation and document processing services; the Parties hereby agree as follows:

1. 保密信息定义 / Definition of Confidential Information

本协议所称“保密信息”是指披露方以明示或暗示方式提供的、与服务相关的任何书面、电子、口头或可见的形式的信息、案卷、证据、合同草案、身份证明及电子取证材料（包括但不限于源文件、翻译稿、参考术语库等）。

"Confidential Information" under this Agreement refers to any information, case files, evidence, draft contracts, identity certificates, and e-Discovery materials provided by the Disclosing Party in written, electronic, oral, or visual form related to the services (including but not limited to source documents, translated drafts, and reference terminology databases).

2. 保密义务 / Confidentiality Obligations

接收方联律国际特此承诺并同意：

Links Attorney hereby covenants and agrees to:

• 严格对保密信息进行高度保密，其保护级别不低于其保护自身同类机密信息的级别（且在任何情况下均不得低于合理的保护标准）；
  Hold the Confidential Information in strict confidence, exercising a degree of care no less than that used to protect its own confidential information of a similar nature (and in no event less than a reasonable standard of care);
• 保密信息仅用于评估或执行披露方委托的法律翻译及相关语言服务，不得用于任何其他商业或竞争目的；
  Use the Confidential Information solely for the purpose of evaluating or executing the legal translation and related language services commissioned by the Disclosing Party, and not for any other commercial or competitive purposes;
• 严格限制知悉范围，仅将保密信息披露给必须知悉该信息以便执行翻译工作的内部资深译员、校对专家或项目经理。上述人员均已签署约束力不低于本协议的终身保密协议。
  Strictly limit disclosure of the Confidential Information to internal senior translators, proofreading experts, or project managers who have a need to know to perform the translation work. Such personnel have signed lifelong non-disclosure agreements no less restrictive than this Agreement.

3. 例外条款 / Exclusions from Confidentiality

本协议的保密义务不适用于：(a) 在披露时已属于公开领域的资料；(b) 并非由于接收方违反本协议而变成公开领域的资料；(c) 接收方在披露前已合法占有且不负保密义务的资料；(d) 依据法律程序、法院判决或监管机构强制要求必须予以披露的资料（在此情况下，接收方应立即通知披露方，以便披露方寻求保护令）。

The obligations of confidentiality shall not apply to information that: (a) is already in the public domain at the time of disclosure; (b) becomes part of the public domain through no fault of the Receiving Party; (c) was already lawfully possessed by the Receiving Party prior to disclosure without confidentiality obligations; (e) is required to be disclosed by legal process, court order, or regulatory authority (in which case the Receiving Party shall promptly notify the Disclosing Party to allow them to seek a protective order).

4. 数据粉碎与返还 / Return or Destruction of Data

在服务完成或披露方提出书面要求后，接收方应根据披露方的指示，退还或永久销毁（物理级别粉碎）所有包含保密信息的源文件、翻译件及其电子副本，且不留存任何底稿，除非法律法规另有留存要求。

Upon completion of services or upon written request by the Disclosing Party, the Receiving Party shall, at the option of the Disclosing Party, return or permanently destroy (physical-level shredding) all source documents, translations, and electronic copies containing Confidential Information, and retain no drafts, unless otherwise required by laws and regulations.

5. 协议期限 / Term

本协议自双方签字盖章之日起生效。即使双方服务关系终止或未能建立，接收方对保密信息的保密义务仍将**永久有效**并持续具有法律约束力。

This Agreement shall enter into force upon the date of signature and seal by both Parties. Even if the service relationship is terminated or fails to be established, the Receiving Party's obligation to maintain confidentiality shall remain **permanently effective** and legally binding.

6. 争议解决 / Governing Law and Jurisdiction

本协议的订立、效力、解释、履行及争议的解决均适用中华人民共和国法律。因本协议引起的或与本协议有关的任何争议，双方应友好协商解决；协商不成的，应提交接收方所在地有管辖权的人民法院诉讼解决。

The formation, validity, interpretation, performance, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiation; failing which, it shall be submitted to the competent People's Court at the location of the Receiving Party for litigation.
